Tripcrate Terms of Service
Effective date: November 5, 2026
These Terms of Service ("Terms") are an agreement between you and Sukoa Software,LLC ("Tripcrate," "we," "us"). They cover your use of tripcrate.app, plan.tripcrate.app and related services (the "Service"). By creating an account, joining a trip or making a payment through the Service, you agree to these Terms and to our Privacy Policy.
1. What Tripcrate is, and isn't
Tripcrate is software that helps organizers and travel agencies plan group trips, invite travelers, share itineraries and collect payments. Tripcrate is not a travel agency, tour operator or seller of travel, and is not a party to any trip. The organizer or agency that runs a trip ("Organizer") is solely responsible for the trip. That includes booking suppliers, the accuracy of trip details and prices, the trip's refund policy, and delivering what was promised. Travel suppliers such as hotels, cruise lines and tour operators are responsible for their own services.
2. Accounts
You must be at least 18 to create an account. You're responsible for your account, for keeping your password secure, and for everything done under it. Give accurate information and keep it up to date. A parent or guardian may add a minor as a traveler on a trip they pay for, and is responsible for that minor's participation.
Agencies. The person who creates an agency account (the "agency head") controls it. They can invite and remove agents, reassign clients and trips, and see all of the agency's data. Agents act on the agency's behalf. The agency is responsible for its agents' use of the Service.
3. Payments for trips
- Trip payments are processed by Stripe on the Organizer's own Stripe account. The Organizer is the merchant: payments go to the Organizer, not to Tripcrate. Stripe's terms also apply to payments.
- The amount you owe, the payment schedule and deposits are set by the Organizer. On split-cost trips, your share can change as travelers join or leave, and the Organizer's trip settings explain how.
- Refunds are governed by the refund policy the Organizer sets for the trip, which you accept before paying. Tripcrate processes refunds as the trip's settings and the Organizer direct, but doesn't decide whether a refund is owed. Payments made outside Tripcrate (for example cash or payment apps) are refunded by the Organizer directly.
- Organizers may charge a service fee shown before you pay. Card and bank processing fees may apply as shown at checkout.
- Disputes about a trip are between you and the Organizer. If you file a chargeback, the Organizer may respond with the records kept in Tripcrate, such as your acceptance of the refund policy.
4. Organizer and agency responsibilities
If you run trips on Tripcrate, you agree to:
- describe trips, prices and refund policies accurately, and honor them
- hold any licenses, registrations or bonds your business needs. Some states require sellers of travel to register; that's your responsibility.
- comply with Stripe's terms and with consumer protection, privacy and anti-spam laws
- get travelers' permission before adding their contact information or sending them messages
- use travelers' information only to run the trip
You're responsible for supplier bookings and for commission, expense and payout records you keep in Tripcrate. Commission tracking is a record-keeping tool. Tripcrate doesn't collect or pay commissions.
5. Tripcrate subscriptions
- Organizer and agency plans are billed in advance, monthly or yearly, through Stripe, and renew automatically until cancelled.
- You can cancel any time in Settings → Billing. Your plan stays active until the end of the paid period. Fees already paid aren't refunded, except where required by law.
- An active plan is needed to create or publish new trips. Trips already live keep working.
- We may change prices with at least 30 days' notice. The change applies at your next renewal.
- Plan limits, such as agent seats and AI searches per trip, are described on our pricing page and may change.
6. Text messages
If you opt in to texts, you agree to receive trip-related messages (payment reminders, failed payments, waitlist openings, trip changes) at the number you provide. Message frequency varies. Message and data rates may apply. Reply STOP to cancel or HELP for help. Carriers aren't liable for delayed or undelivered messages.
7. AI recommendations and third-party content
Recommendations are generated with AI and web search and checked against Google Maps data. They may be incomplete, out of date or wrong: hours, prices, availability and event dates change. Confirm details with the business before booking. Place information comes from Google Maps Platform and is subject to Google's terms. Links to third-party sites are provided for convenience, and we're not responsible for their content or services.
8. Acceptable use
Don't use the Service to:
- break the law or anyone's rights
- run fraudulent or deceptive trips, or collect money you don't intend to use as described
- send spam, or upload malware or unlawful content
- access other people's accounts or data without permission, probe or bypass our security, or overload the Service
- scrape the Service, or resell it without our written permission
9. Your content
You keep ownership of what you upload: trip details, documents, messages and notes. You give us permission to host, copy, display and process it as needed to run the Service for you and the people you share it with. You're responsible for having the right to share it.
10. Termination
You can stop using the Service and close your account at any time. We may suspend or end accounts that break these Terms, create risk or legal exposure, or are inactive for long periods. Where reasonable, we'll give notice first. Sections that by their nature should survive (payments owed, disclaimers, limits of liability, indemnity, governing law) survive termination.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee the Service will be uninterrupted or error-free. We aren't responsible for any trip, travel supplier, Organizer, or third-party service such as Stripe, Google, Twilio or the email provider.
12. Limitation of liability
To the fullest extent allowed by law, Tripcrate won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. That includes losses from a trip, a cancellation, or an Organizer's or supplier's actions. Our total liability for any claim related to the Service is limited to the greater of (a) the amount you paid Tripcrate in subscription fees in the 12 months before the claim, or (b) $100. Trip payments made to an Organizer aren't paid to Tripcrate.
13. Indemnity
If you're an Organizer or agency, you'll defend and indemnify Tripcrate against claims arising from your trips, your use of the Service, your agents, or your breach of these Terms or the law.
14. Governing law and disputes
These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Alabama, and you and we consent to their jurisdiction. Either party may bring an individual claim in small claims court where it qualifies. Before filing a claim, please contact us so we can try to resolve it informally.
15. Changes to these Terms
We may update these Terms. If we make material changes, we'll post the new version with a new effective date and notify you by email or in the app. Continuing to use the Service after changes take effect means you accept them.
